General Terms and Conditions

For the purposes of these Terms and Conditions as well as of any Contract entered into by WordCrafters and the Client, all services performed by WordCrafters shall be collectively known as "Services". Further, any copyrightable works, ideas, products, materials, or other information developed or produced in whole or in part by WordCrafters in connection with these Services shall be known collectively as "Work Product".

Because every project is unique, Client will be furnished a written proposal (based on time and materials as appropriate) for each project, specifying the work to be done, all fees, and an estimate of the amount of time necessary to complete the project.

General Terms and Conditions

1.

Proposals: A signed proposal and/or purchase order shall be required for all work. The signed proposal shall become the Contract between all parties.

2.

Agreement: The signed Contract contains the entire agreement of the parties, and there shall be no other promises or conditions in any other agreement, whether oral or written. Any changes to the terms and/or conditions specified in the Contract must be made in writing and agreed upon by both parties before those changes are initiated.

3.

Payment Terms: Specific fees and payment terms will be included in each proposal. In general, however, a 50% deposit shall be required when proposal is accepted. Balance due is expected upon completion of Services. Payment must be made in U.S. funds by certified check or money order only, drawn on a U.S. Bank. We also accept Visa, Mastercard, Discover/Novus, and American Express cards.

Rush Jobs: Rush jobs will be considered. If a rush job is accepted, there will be a surcharge of 20% on all rush jobs. Expenses for overnight/expedited delivery, if necessary, shall be additional and shall be charged at cost.

5.

Ownership: Once payment for Work Product is received in full, that Work Product becomes the property of Client. Until payment in full is received, all Work Product remains the property of WordCrafters. WordCrafters reserves the right to retain and withhold any Work Product that has not been paid for.

6.

Confidentiality: WordCrafters agrees to maintain the confidentiality of all source materials supplied by Client.

7.

Revisions: Revisions are included in the original fees, provided they do not result from changes in the original terms of the project made after Work Product has been submitted.

8.

Non-Acceptance: If, after two revisions, Client chooses not to accept Work Product completed by WordCrafters, the following provisions shall apply:

1. WordCrafters will return all Client-supplied source materials to Client;
2. The Client will return all Work Product completed by WordCrafters, and agrees to keep no copies of said Work Product. All completed Work Product shall remain the property of WordCrafters.
3. Any deposit paid shall be nonrefundable; however, there will be no additional charges for services rendered and the Contract will be considered terminated with no further liability on the part of either party.
4. Any down payment made for custom stock or materials shall be nonrefundable; however, the custom stock or materials (excluding completed Work Product mentioned in Item 8-b above) will become the property of the Client.

9.

Non-Payment: Client agrees to reimburse WordCrafters for all legal fees and all additional costs related to collection for non-payment.
